Welcome to Ticket Taxi! By accessing or using Ticket Taxi's website, mobile application, and services (collectively, the "Service"), you agree to these Terms & Conditions (the "Terms"). These Terms form a binding legal agreement between you ("you" or "User") and Ticket Taxi LLC ("Ticket Taxi," "we," "us," or "our"). If you do not agree with any part of these Terms, you must not use our Service.

2. About Ticket Taxi

Ticket Taxi is an online ticket marketplace. We connect people who have event tickets to sell with people who want to buy them. Ticket Taxi does not own the tickets listed for sale on our Service, and we do not set the ticket prices. Prices for resale tickets may be above or below the ticket's original face value. All ticket prices are shown in U.S. dollars and include any applicable service fees and taxes (which will be disclosed at checkout).

No Ownership of Tickets: As a marketplace platform, Ticket Taxi is not the seller of the tickets. The actual transactions are between the buyer and the independent seller. We facilitate the transaction by providing the platform, but we are not responsible for the event itself or any changes to event details.

No Endorsement or Affiliation: The appearance of any event or ticket listing on Ticket Taxi does not imply our endorsement of the event or association with the event organizers, venue, performer, or team. Ticket Taxi is not affiliated with any venue or primary ticket issuer unless we explicitly state otherwise.

3. Account Registration & Eligibility

To buy or sell tickets on Ticket Taxi, you will need to create an account. When you register, you agree to provide accurate, current, and complete information about yourself, including a valid email address and phone number. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

Eligibility: You must be at least 18 years old to create a Ticket Taxi account and use our Service. If you are 13 or older but under 18, you may use Ticket Taxi only with the involvement and consent of a parent or legal guardian. By using our Service, you confirm that you meet this age requirement. Ticket Taxi is intended for users in the United States; if you access the Service from outside the U.S., you are still responsible for complying with local laws, but note that our policies and practices are focused on U.S. users and regulations.

One Account Per User: Each person is allowed to register and maintain only one account. Do not create multiple accounts or provide false information. You may not transfer or sell your Ticket Taxi account to another party.

4. Buying Tickets

When you find tickets for an event on Ticket Taxi and place an order, you are entering into a binding agreement to purchase those tickets from the seller. Please see our Return & Replacement Policy for important information about refunds and our BetterReplacement™ guarantee.

Order Confirmation: After you place an order, you will receive an order confirmation via email. This confirms that your purchase is complete. The total price charged will include the ticket price plus any service fees and taxes disclosed during checkout. You are responsible for paying all charges in full at the time of purchase.

Ticket Delivery: Tickets purchased through Ticket Taxi are delivered digitally. Depending on the ticket and event, delivery may occur in one of the following ways:

  • Email Delivery: You may receive an email with your electronic tickets attached (for example, as PDF files) or with instructions to download or claim your tickets.
  • Mobile App Delivery: Tickets may be delivered directly to your Ticket Taxi mobile app. In such cases, you can access your tickets by logging into the app and viewing your ticket wallet or orders.
  • Third-Party Transfer: In some cases (especially for certain sports or concert tickets), the seller might transfer the tickets to you through a third-party ticket provider (like Ticketmaster or a team/venue's official ticketing system). If so, we will provide clear instructions – typically, you will need to log into that third-party system or accept an emailed ticket transfer to receive your tickets. You may be required to create a login on the third-party ticket site to claim and use your tickets.

You are responsible for providing a correct email address and for installing and logging into the Ticket Taxi app (if applicable) to receive your tickets. If you do not receive your tickets by the expected delivery time, contact us at [email protected] immediately so we can assist.

Ticket Validity and Issues: All tickets sold on Ticket Taxi are supposed to be valid for entry. If you encounter any issue at the venue (for example, if a ticket is invalid or has already been used), please contact Ticket Taxi support right away. We have the Ticket Taxi Guarantee (see Section 7) to protect buyers – if there is a problem with the tickets, we will work to provide you equivalent replacement tickets or a full refund.

5. Selling Tickets

If you have extra tickets that you want to sell, you can list them on Ticket Taxi as a seller. By listing tickets, you agree to the following:

  • You must own the tickets you list: Only list tickets that you currently have in your possession or have a guaranteed right to access and transfer to a buyer. Selling speculative tickets (tickets you do not yet have or are not sure you can deliver) is strictly prohibited.
  • Accurate Listings: Provide complete and accurate details about the tickets you are selling, including the exact section, row, seat numbers (if applicable), and any important information like restricted view or age restrictions. Misrepresenting a ticket or providing incorrect information can lead to canceled sales and penalties.
  • Setting the Price: As the seller, you set the asking price for your tickets. Keep in mind that Ticket Taxi adds a service fee to the buyer at checkout, but we do not charge buyers more than the total price they see. You won't be charged to list your tickets; if they don't sell, you pay nothing. If they do sell, Ticket Taxi will deduct a seller fee (a percentage of the sale price, disclosed to you when you list) from your payout.
  • Delivering Tickets to Buyer: When your tickets sell, you must fulfill the order as promised. This typically means transferring the tickets to the buyer by the method specified in your listing. For example, if you indicated electronic transfer, you may need to transfer through the original ticket provider (we will provide the buyer's information and any necessary instructions). It's crucial to deliver by the deadline provided to ensure the buyer receives the tickets in time. Failure to deliver the tickets as promised can result in the order being canceled and may subject you to charges (for example, costs of obtaining replacement tickets for the buyer) or other consequences such as account suspension.
  • Getting Paid: Ticket Taxi will pay you for completed sales. Payouts are typically processed after the event has taken place, as long as the buyer successfully attends the event using your tickets without any issues. This policy helps prevent fraud and ensures tickets are valid. We will send payment to the bank account or payment method you provided in your account settings. The timing of payouts is usually within a few business days after the event. You are responsible for providing accurate payout information and may be required to provide tax identification information if your sales exceed certain thresholds (in compliance with U.S. tax laws).

Please note that as a ticket seller, you are responsible for complying with any local, state, or federal laws regarding ticket resale. Ticket resale laws can vary by state (for example, some jurisdictions have restrictions on resale prices or require certain disclosures). By listing on Ticket Taxi, you agree that you have the legal right to sell the tickets and that your listing follows all applicable laws.

6. Pricing, Fees & Payment Terms

Pricing: Ticket prices on Ticket Taxi are set by the sellers, not by Ticket Taxi. The price you see for a ticket listing is the price set by the seller. However, at checkout, Ticket Taxi will add any applicable service fees and calculate taxes (if any) which will be shown clearly before you finalize your purchase. We strive to be transparent about the costs: the price you see at checkout is exactly what you will pay.

Service Fees: Service fees help us operate our platform and provide customer support and the Ticket Taxi Guarantee. These fees may vary depending on the event, demand, or other factors. All fees are included in the total price before you complete the purchase. There are no hidden charges.

Tax: Depending on the event and your location, sales tax or other taxes may apply to your ticket purchase. Any applicable taxes will be included in the checkout total. Ticket Taxi may collect and remit taxes as required by law. If you are a seller, Ticket Taxi may collect required information (such as a Tax ID or IRS Form W-9 information) from you and may issue IRS Form 1099-K or other tax forms for your earnings, in compliance with U.S. tax laws.

Payment Methods: We accept major credit cards, debit cards, and other payment methods as listed on our site/app at checkout. By providing a payment method, you represent that you are authorized to use that method and you authorize Ticket Taxi (or our payment processor) to charge the full amount of your purchase to that payment method. If your payment method fails or is declined, your order will not be completed. We do not store your full payment card information on our servers; payments are processed through secure, PCI-compliant third-party processors.

7. Event Cancellations and Postponements (Ticket Taxi Guarantee)

We understand that sometimes events are canceled or rescheduled. Ticket Taxi offers a Guarantee to protect buyers in these cases and in cases of invalid tickets:

  • Canceled Events: If an event is officially canceled and not rescheduled, Ticket Taxi will provide you with a full refund of the ticket purchase price, including any service fees. Alternatively, at our discretion and where possible, we may offer you credit toward a future purchase if you prefer. We will notify you if an event you bought tickets for through Ticket Taxi is canceled, and we will provide instructions on claiming your refund or credit. Sellers will not receive payment for tickets to canceled events (and if already paid, may be required to return the payment).
  • Rescheduled or Postponed Events: If an event is postponed or rescheduled to a new date, your tickets are usually still valid for the new date. In most cases, refunds are not issued for rescheduled events. You should use the tickets on the new event date; if new tickets are issued for the rescheduled date, Ticket Taxi will work to get replacement tickets to you. If you cannot attend the event on the new date, you are free to resell your tickets (through Ticket Taxi or elsewhere) but we do not typically offer refunds for postponements. In certain circumstances, if required by law or venue policy, Ticket Taxi may assist with a refund or credit for a rescheduled event on a case-by-case basis.
  • Ticket Issues/Guarantee: Ticket Taxi guarantees that you will receive valid tickets in time for your event. If you do not receive your tickets, or if you are denied entry at the venue due to an issue with the tickets (and it's verified that the tickets were invalid or not as advertised), contact us immediately. We will attempt to find you comparable or better replacement tickets for the event at no additional cost to you. If that is not possible, we will provide you a full refund. This is our promise to ensure you can purchase with confidence.

Except as described above or otherwise required by law, all ticket sales are final. That means no refunds or exchanges if you change your mind or can't attend, so please be sure of your purchase.

8. Prohibited Uses and User Conduct

We aim to keep Ticket Taxi a safe and fair marketplace. By using our Service, you agree that you will NOT:

  • Use Ticket Taxi for any unlawful purpose or for any purpose that violates these Terms.
  • Engage in any fraudulent activity, such as using a stolen credit card, or knowingly selling counterfeit or invalid tickets.
  • Use any automated means (such as bots, scrapers, or scripts) to access or use the Service, buy tickets, or list tickets, or to interfere with the operation of Ticket Taxi. We strictly prohibit the use of ticket-buying bots or any technology intended to bypass our security measures or purchase limits.
  • Copy, reproduce, or interfere with the Ticket Taxi website or app. This includes not introducing any malware, viruses, or any code that could harm the platform or other users.
  • Post or transmit any content that is abusive, harassing, defamatory, fraudulent, or otherwise objectionable or that infringes on someone else's rights.
  • Violate any applicable laws or regulations in relation to ticket sales or purchases, including any resale restrictions placed on the tickets by the venue or event organizer.

If you abuse the Service or violate these Terms, we may take action against you, including removing listings, canceling orders, suspending or terminating your account, withholding payments, and/or taking legal action if necessary. We reserve the right to refuse service to anyone engaging in prohibited conduct.

9. Intellectual Property

All content and materials on the Ticket Taxi website and app – including text, graphics, logos, button icons, images, audio clips, and software – are the property of Ticket Taxi or our licensors and are protected by copyright, trademark, and other intellectual property laws. Ticket Taxi and the Ticket Taxi logo are trademarks or service marks of Ticket Taxi LLC. You are not permitted to use our trademarks or any content from our site for any commercial purpose without our prior written consent.

You may use the Ticket Taxi Service and content only for personal, non-commercial purposes (for example, to buy or sell tickets for your own use). Any unauthorized use of the site, app, or its content (such as copying, scraping, or reproducing information for use on another platform) is prohibited.

10. Disclaimers

We strive to make Ticket Taxi reliable and to facilitate great experiences, but there are some things we need to disclaim legally:

  • Service As-Is: Ticket Taxi provides the platform and services on an "as is" and "as available" basis. This means we do not make any specific promises about the Service, such as it being error-free or uninterrupted. We cannot guarantee that every listing or ticket is perfect or that every transaction will occur without any issues (though we do our best to prevent problems and to help when issues arise).
  • No Warranty: To the fullest extent permitted by law, Ticket Taxi disclaims any warranties, express or implied, regarding the Service. This includes implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. For example, we aren't providing a warranty that the event you attend will meet your expectations (we don't control the event itself), only that the ticket will be valid as per our Guarantee.

Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above disclaimers may not apply to you. In such case, those warranties are disclaimed to the fullest extent permitted by applicable law.

11. Limitation of Liability

To the extent allowed by law, in no event shall Ticket Taxi or its owners, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, your purchase or sale of tickets, or your attendance at any event for which tickets were transacted through our Service. This means that we are not responsible for losses like lost opportunity, lost profits, or other indirect harms.

Our total liability to you for any claims arising from using Ticket Taxi or these Terms is limited to the amount you paid (in fees or ticket costs) to Ticket Taxi in the past 12 months, or, if greater, $100. In other words, if something goes wrong that is our fault, the most we could owe you is a refund of what you paid us. We do not seek to limit liability for any matter for which liability cannot be limited by law, including gross negligence or intentional misconduct.

Nothing in these Terms is intended to exclude or limit any consumer rights that cannot be lawfully limited (for instance, certain legal rights you may have under state law).

12. Indemnification

You agree that you will indemnify and hold harmless Ticket Taxi LLC and its affiliates, and each of their respective employees, officers, agents, and partners, from any claim, demand, lawsuit, liability, or expense (including reasonable attorneys' fees) that arises out of or relates to: (a) your use or misuse of the Ticket Taxi Service; (b) your violation of these Terms or any applicable law or regulation; or (c) your infringement of any intellectual property or other right of any person or entity. This means if you do something that causes harm or legal issues for Ticket Taxi or others, you agree to cover the costs and damages.

13. Dispute Resolution & Arbitration

We hope to never have any disputes with our users, but if disputes do arise, this section explains how they will be handled.

Informal Resolution: You agree to first try to resolve any dispute with us informally by contacting Ticket Taxi support. Most issues can be worked out quickly by speaking with our customer service team.

Arbitration Agreement: If a dispute cannot be resolved informally, you and Ticket Taxi agree that any legal claim or dispute arising out of or related to these Terms or your use of the Service (including any question about its validity or enforceability) will be resolved through final and binding arbitration, not in a court of general jurisdiction. Arbitration is a process where a neutral arbitrator, rather than a judge or jury, makes a decision about the dispute.

Class Action Waiver: You and Ticket Taxi agree that any arbitration (or, if allowed, court proceeding) will be conducted on an individual basis only and not as a class action or similar group claim. This means you cannot bring a claim against Ticket Taxi as part of a class, consolidated, or representative action, and an arbitrator cannot combine your case with others or preside over any kind of collective action.

Opt-Out: We want to give you a choice. If you do not want to be bound by the arbitration agreement and class action waiver in this section, you may opt out by sending us written notice of your decision within 30 days of first accepting these Terms. Please include your name and the email associated with your account. Opting out of this arbitration agreement will not affect any other provisions of these Terms or your ability to use the Service.

Exceptions: Notwithstanding the foregoing, either party may bring a claim in small claims court if it qualifies. Also, claims involving allegations of intellectual property infringement or misuse of the Service may be brought to court without requiring arbitration.

The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement. This section will survive termination of your account and these Terms.

14. Governing Law

These Terms and any dispute that arises between you and Ticket Taxi will be governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of law principles that might apply the laws of another jurisdiction. If for any reason a claim proceeds in court rather than arbitration, we each waive any right to a jury trial, and jurisdiction and venue will be in the state or federal courts located in the State of Florida, unless this is prohibited by the law of your home state.

15. Changes to These Terms

Ticket Taxi may update or modify these Terms & Conditions from time to time. If we make material changes, we will notify you by email (sent to the address associated with your account) or by posting a notice on our website or app. The latest version of the Terms will always be available on the Ticket Taxi website. Changes to the Terms will typically apply on a going-forward basis from the effective date specified. By continuing to use the Service after any changes take effect, you agree to the revised Terms. If you do not agree to a change, you must stop using our Service.

16. Miscellaneous

Entire Agreement: These Terms (along with the Ticket Taxi Privacy Policy and any other policies or rules that we reference and incorporate) constitute the entire agreement between you and Ticket Taxi regarding the Service. They replace any prior agreements or understandings between you and us regarding the Service.

Severability: If any provision of these Terms is found to be a unlawful, void, or unenforceable, that provision shall be deemed severable from the Terms and will not affect the validity and enforceability of the remaining provisions.

No Waiver: If we do not enforce a provision of these Terms, or if we delay in enforcing it, that does not mean we are waiving our rights. Any waiver of rights by Ticket Taxi must be in writing to be effective.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.
